1. Acceptance of Terms

Welcome to Bleecker. These Terms and Conditions ("Terms") govern your access to and use of the website located at bleecker.ai and all related services, tools, and features (collectively, the "Service") operated by Bleecker ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Bleecker.

2. Eligibility

You must be at least 16 years old (or the applicable age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration and Authentication

3.1 OTP-Based Authentication

Certain features of the Service require authentication. We use a passwordless one-time passcode (OTP) system to verify your identity. When you register or sign in, you will receive a unique, time-limited code via SMS or email. By using our authentication system, you agree to the following:

• You will provide accurate and current contact information (phone number and/or email address) for OTP delivery.
• You are responsible for maintaining access to the phone number or email address associated with your account.
• You will not share OTP codes with any other person. Each code is intended for your use only.
• You will notify us immediately if you suspect unauthorized access to your account.
• Standard messaging and data rates from your carrier may apply when receiving OTP codes via SMS.

3.2 Account Security

You are responsible for all activities that occur under your account. While our OTP-based system eliminates password-related vulnerabilities, you must still safeguard access to your phone number and email. We are not liable for any loss arising from unauthorized use of your account where such use was not caused by our negligence.

3.3 Account Termination

You may request deletion of your account at any time by contacting us at sofi@bleecker.ai. We reserve the right to suspend or terminate your account if you violate these Terms or if your use of the Service poses a risk to us or other users.

4. Use of the Service

4.1 Permitted Use

The Service is provided for your personal and business use. You may access and use the tools, features, and content made available through the Service in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any part of the Service, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Service
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
• Transmit viruses, malware, or any other harmful code
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property

The Service and its original content, features, functionality, design, and branding (including but not limited to text, graphics, logos, icons, and software) are owned by Bleecker and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

5.2 User Content

By submitting content through the Service (such as questions, messages, or feedback), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content solely in connection with operating and improving the Service. You retain all ownership rights to your content.

6. Tools and Features

Bleecker provides a collection of free digital tools through the Service. These tools are provided "as is" and are subject to the following:

• Tools may be added, modified, or removed at any time without prior notice.
• We do not guarantee that any particular tool will remain available or free of charge indefinitely.
• Individual tools may have additional terms or conditions, which will be presented to you before use.
• The availability and functionality of tools may vary by region.

7. Communications and Notifications

By providing your phone number or email address, you consent to receive:

• Transactional Messages: OTP codes, authentication confirmations, and account-related notifications. These are essential to the operation of the Service and cannot be opted out of while maintaining an account.
• Service Communications: Updates about the Service, changes to these Terms, and important notices.

We will not send you marketing or promotional communications without your explicit opt-in consent. You may opt out of non-essential communications at any time.

8. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or content that are not owned or controlled by Bleecker. We are not responsible for the content, privacy policies, or practices of any third-party services. You access third-party services at your own risk and are subject to the terms and conditions of those third parties.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

9.2 No Guarantee

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy, reliability, or completeness of any information provided through the Service. Any reliance you place on information obtained through the Service is at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLEECKER, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Delays or failures in the delivery of OTP codes

In jurisdictions where limitations on liability for consequential or incidental damages are not permitted, our liability shall be limited to the greatest extent permitted by law. Nothing in these Terms excludes or limits our liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bleecker, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property rights. This indemnification obligation does not apply where prohibited by law.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. If you are a consumer in the European Union, you may also benefit from mandatory provisions of the law of your country of residence.

12.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction. If you are a consumer in the European Union, you may bring proceedings in the courts of your country of residence. EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information, including data related to OTP authentication. Please review our Privacy Policy carefully.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, provide notice through the Service. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

If you do not agree with the modified Terms, you must stop using the Service. For material changes that significantly affect your rights, we will provide at least 30 days' notice before the changes take effect where required by law.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

16. Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms for specific tools or features, constitute the entire agreement between you and Bleecker regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, telecommunications failures, or other force majeure events.
